Company Overview

VNET Group, Inc. (NASDAQ: VNET) is a leading carrier-neutral and cloud-neutral data center services provider in China. The company operates one of the largest carrier-neutral data center networks across China, offering managed hosting, colocation, interconnectivity, cloud infrastructure, and enterprise Virtual Private Network (VPN) services. VNET’s infrastructure footprint is strategically concentrated in tier-1 Chinese cities and their surrounding metropolitan hubs—including the Greater Beijing Area, the Yangtze River Delta, and the Greater Bay Area—where digital traffic density, enterprise demand, and infrastructure resources are highest.

VNET operates as a Cayman Islands holding company that conducts its primary business activities through wholly-owned subsidiaries and consolidated Variable Interest Entities (VIEs) in the People’s Republic of China (PRC). Because PRC legal restrictions limit foreign direct ownership in value-added telecommunications businesses (such as data centers and internet access services), VNET maintains operational control and receives economic benefits through a series of contractual agreements with domestic operating entities, primarily Beijing Yiyun Network Technology Co., Ltd. (VNET Technology), Beijing iJoy Information Technology Co., Ltd. (BJ iJoy), and Shanghai Zhiyan Yunwei Technology Co., Ltd. (SH Zhiyan).

As a carrier-neutral infrastructure provider, VNET’s data center facilities are interconnected with all major Chinese telecommunications operators—including China Telecom, China Unicom, and China Mobile—as well as major non-carrier networks and local internet service providers. This multi-carrier architecture enables each data center to function as an independent network access point, optimizing data transmission routes, mitigating network bottlenecks, and delivering high uptime guarantees. VNET is also a first mover in providing global public cloud services in the Chinese mainland through an exclusive strategic partnership with Microsoft, delivering Microsoft Azure, Microsoft 365 (formerly Office 365), Dynamics 365, and Power Platform services to domestic enterprise clients.

To capture evolving market opportunities, VNET operates a “dual-core” strategy that balances retail data center operations (standardized cabinet colocation and value-added services) with wholesale data center developments (hyperscale, build-to-suit sites for internet giants and cloud providers). As of December 31, 2025, VNET operated 889 MW of wholesale capacity in service and 49,863 retail cabinets in service, serving over 7,000 enterprise customers across information technology, cloud computing, financial services, e-commerce, gaming, automotive, and government sectors.

Business Segments

VNET operates its business as a single reportable operating segment focused on hosting and related services. Internally, the company categorizes its revenue-generating operations into two primary service types: Internet Data Center (IDC) business and Non-IDC business.

1. IDC Business (Managed Hosting Services)

The IDC business represents VNET’s primary revenue generator, accounting for the vast majority of total net revenues. Beginning in the first quarter of 2024, VNET refined its internal reporting classification to separate its IDC operations into Wholesale IDC and Retail IDC based on the nature and scale of data center projects:

  • Wholesale IDC Business: Designed for hyperscale cloud computing providers, major internet platforms, and large technology conglomerates. Under the wholesale model, VNET acquires or leases greenfield land or existing industrial structures and constructs customized data center facilities according to clients’ exact power, cooling, and spatial specifications. As of December 31, 2025, VNET’s wholesale capacity in service reached 889 MW, with a commitment rate of 95.3% and a utilization rate of 70.1%. An additional 452 MW of wholesale capacity was under construction, with 34.5% pre-committed by anchor clients.
  • Retail IDC Business: Serves small, medium, and large enterprise customers seeking scalable colocation and network connectivity. Retail services include:
    • Colocation Services: Leasing partial or full cabinet spaces, power, and environmental control to house customer-owned servers and networking hardware.
    • Interconnectivity Services: Providing high-speed connection options, including Border Gateway Protocol (BGP) routing, single-line, dual-line, and multi-line network feeds connecting client servers directly to major carrier backbones.
    • Value-Added Services: Delivering hybrid IT management, bare metal server provisioning, cloud-native application management (via subsidiary BJ TenxCloud), security firewalls, server load balancing, data backup, and disaster recovery.
As of December 31, 2025, VNET managed 49,863 retail cabinets in service (46,146 self-built and 3,717 partnered), with a utilization rate of 64.0% and an average monthly recurring revenue per cabinet of RMB 9,045.

2. Non-IDC Business

VNET’s Non-IDC business line provides complementary enterprise solutions that expand its recurring revenue base:

  • Cloud Services: VNET has operated Microsoft’s public cloud services in the Chinese mainland since 2013. VNET delivers Infrastructure-as-a-Service (IaaS), Platform-as-a-Service (PaaS), and Software-as-a-Service (SaaS) offerings covering Microsoft Azure, Microsoft 365, Dynamics 365, and Power Platform. VNET bills end users directly, maintains a joint escrow settlement process with Microsoft, and earns a combination of retained billing margins and incentive performance bonuses.
  • Enterprise VPN Services: Operated primarily under the DYXnet brand through Dermot Holdings Limited, VNET provides enterprise-grade Virtual Private Network solutions across Greater China and the Asia-Pacific region. These solutions utilize Multiprotocol Label Switching (MPLS), Software-Defined Wide Area Network (SD-WAN), and Secure Access Service Edge (SASE) frameworks to deliver secure, encrypted cross-border network connectivity across 105 specialized VPN Points of Presence (POPs).

Future Strategy

VNET’s forward-looking strategy centers on expanding its hyperscale data center footprint, advancing its energy transition, and broadening its digital ecosystem:

  • Hyperscale Wholesale Expansion: Accelerate build-to-suit and pre-committed wholesale data center campuses in primary satellite clusters surrounding tier-1 Chinese cities (e.g., Hebei/Langfang in Greater Beijing, Nantong/Changzhou in Yangtze River Delta) to capture surging demand driven by generative AI models, cloud computing, and enterprise digitization.
  • Pre-REITs and Asset Recycling Model: Expand joint venture partnerships with institutional financial investors (such as Dajia Investment Holding) to establish Pre-REITs funds. By transferring mature data center assets into specialized fund vehicles while retaining operational management contracts and majority control, VNET recycles capital efficiently to fund new project developments.
  • Asset-Backed Securities (ABS) Capital Recycling: Continue utilizing onshore capital market channels—such as green asset-backed special schemes—to securitize cash-flowing data center infrastructure, lower weighted average cost of capital, and optimize balance sheet leverage.
  • Green Energy & Carbon Neutrality Integration: Execute on its committed “SHIELD” sustainability roadmap to achieve operational carbon neutrality (Scope 1 and Scope 2) and 100% renewable energy usage by 2030. Deepen strategic cooperation with energy partners (such as SDHG) to construct integrated renewable power plants, micro-grids, and distributed photovoltaic systems directly powering data center campuses.
  • Enterprise AI & Cloud-Native Solutions: Leverage BJ TenxCloud’s containerized software platforms and bare metal infrastructure to provide full-stack computing power solutions for artificial intelligence training, inference, and multi-cloud management.

  • Carrier-Neutral Interconnectivity: Interconnected with all major Chinese telecommunications carriers (China Telecom, China Unicom, China Mobile) and regional ISPs across 224 network POPs, offering clients BGP smart routing and redundant uptime guarantees.
  • Premier Tier-1 Location Strategy: Over 85% of VNET’s self-built capacity is located in the Greater Beijing Area and Yangtze River Delta, where municipal energy quotas and land permits are highly restricted.
  • Exclusive Strategic Cloud Partnership: Exclusive operational partner delivering Microsoft Azure, Microsoft 365, Dynamics 365, and Power Platform in the Chinese mainland, driving high-margin enterprise cloud services.
  • Proven Hyperscale Execution & Dual-Core Synergy: Demonstrated ability to design, build, and operationalize build-to-suit wholesale campuses for tier-1 cloud and internet giants while maintaining a diversified, high-recurring-revenue retail client base.
  • Innovative Capital Recycling Framework: Established operational Pre-REITs and public ABS issuance frameworks (Dajia partnerships, CPIC Green ABS, and 2026 Shanghai Stock Exchange ABS listings) enabling efficient balance sheet management.

Key Challenges and Risks

VNET operates in a capital-intensive, highly regulated environment and faces several operational, financial, and regulatory risks:

  • Contractual VIE Structure & Regulatory Uncertainties: VNET operates its domestic data centers through contractual arrangements with VIEs. If the PRC government determines that these contractual structures do not comply with foreign investment restrictions in value-added telecommunications, or if future laws alter VIE legal status, VNET could face penalties, license revocations, or be forced to relinquish its interest in domestic operations.
  • PRC Overseas Listing & Filing Rules: Under the CSRC Overseas Listing Regulations effective March 2023, future capital raising activities (including follow-on offerings, convertible bond issuances, and refinancing) require formal registration filings with the CSRC. Failure or delay in securing CSRC filing acceptances could hinder future international capital raises.
  • HFCA Act & US-China Geopolitical Tensions: The Holding Foreign Companies Accountable Act mandates trading prohibitions if the PCAOB is unable to inspect US-listed company auditors for two consecutive years. While the PCAOB vacated its negative determination in December 2022, future geopolitical shifts or inspection restrictions could create delisting risks. Furthermore, trade tensions, US export controls (EAR restrictions on advanced GPU chips by the BIS), and outbound investment restrictions (U.S. Treasury Final Rule and COINS Act) could impact VNET’s technology supply chain and enterprise clients.
  • Energy Conservation & PUE Quotas: Local municipal governments in Beijing, Shanghai, and Guangdong enforce strict Power Usage Effectiveness (PUE) limits (e.g., Beijing PUE limits of 1.15 for new facilities and 1.35 for existing facilities). Failure to comply with evolving green standards can result in differentiated, higher electricity tariffs, administrative penalties, or denial of project construction approvals.
  • Substantial Indebtedness & Refinancing Risk: VNET carries RMB 19.95 billion in total debt obligations (including bank borrowings and convertible notes) as of December 31, 2025. Servicing this debt requires significant cash flow, and failure to refinance maturing debt or comply with loan financial covenants could trigger acceleration clauses.
  • Exposure to Customer Concentration in the Internet Sector: A significant portion of revenues is derived from technology, e-commerce, and cloud customers. Downturns, regulatory scrutiny, or reduced IT outsourcing among Chinese internet platforms could lead to contract non-renewals or payment defaults.

Conclusion and Strategic Outlook

VNET Group, Inc. occupies a central position within China’s digital economy infrastructure. Supported by its extensive carrier-neutral network, premier tier-1 data center footprint, and dual-core operational model, the company effectively captures demand from both hyperscale cloud operators and enterprise digital transformations. While VNET faces ongoing macroeconomic, regulatory, and capital structure complexities, its strategic investments in green energy, AI-ready high-density power architecture, and innovative Pre-REITs capital recycling position it to maintain its market leadership across the digital infrastructure sector.

Frequently Asked Questions (FAQs)

1. What is VNET Group’s core business model?

VNET Group is a carrier-neutral and cloud-neutral internet data center service provider in China. It provides retail colocation, wholesale build-to-suit hyperscale data centers, interconnectivity, hybrid IT, and enterprise VPN services. It also operates Microsoft’s public cloud services (Azure, Microsoft 365, Dynamics 365, and Power Platform) in Mainland China.

2. How does VNET structure its corporate operations in China?

VNET is incorporated in the Cayman Islands as a holding company. 3. What is VNET’s “dual-core” strategy?

VNET’s dual-core strategy balances its traditional Retail IDC business (providing standardized cabinet space, BGP interconnectivity, and managed services to a broad enterprise base) with its Wholesale IDC business (constructing large-scale, build-to-suit data center campuses tailored for hyperscale cloud providers and major internet platforms).

4. What is VNET’s strategic relationship with Microsoft?

Since 2013, VNET has maintained an exclusive strategic partnership with Microsoft to operate Microsoft Azure and Microsoft 365 services in the Chinese mainland. VNET manages the local infrastructure, client billing, and compliance, earning margin distributions and performance incentives.

5. What are VNET’s environmental and carbon neutrality targets?

Under its “SHIELD” sustainability framework, VNET has committed to achieving operational carbon neutrality (Scope 1 and Scope 2 emissions) and 100% renewable energy usage across its operations by 2030. In 2025, VNET achieved an average PUE of 1.24 in its stabilized data centers and sourced approximately 36% of its energy from renewable sources.
